Fair Usage Policy

1. Purpose

This Fair Usage Policy ("Policy") ensures that all VaultFuzion customers receive reliable and consistent service quality. It applies to storage consumption, API usage, and backup frequency across all subscription tiers.

2. Storage Limits per Tier

Storage includes all backup snapshots across Exchange, OneDrive, SharePoint, and Teams. Content-addressable deduplication is applied before calculating usage.

2A. Kapsul8 EndpointBackup — Tenant-Pooled Storage Allowances

Endpoint Backup uses a tenant-pooled allowance model: your tenant storage pool is calculated as (per-workstation allowance × number of workstations) + (per-server allowance × number of servers). Endpoints can use the pool flexibly — heavy and light users share the same total budget.

All allowances are measured in stored bytes — the bytes physically held in South African storage after VaultFuzion's content-addressable deduplication, compression, and encryption are applied. Typical Windows endpoint estates achieve 3–5× reduction from raw user data.

Overage: stored data above your tenant pool is billed at R0.75 (or USD equivalent) per GB stored per month, in arrears. Soft warnings fire at 75%, 90%, and 100% of pool. Hard cap at 150% of pool pauses new backups until upgrade or overage agreement is signed.

Restore quota: ordinary restore activity is included. Multiple full-estate restores within a single calendar month may trigger restore overage at R0.20/GB stored, applied to data restored above one (1) full-pool equivalent.

Minimum commitment endpoints (revenue floor): Base tier carries a minimum commitment of 75 endpoints per tenant; Pro tier carries a minimum commitment of 100 endpoints per tenant. You will be billed at the per-endpoint rate for at least the minimum count regardless of how many endpoints are actually enrolled, deployed, or in active use during the billing period. The minimum applies per tenant; it is not pooled across multiple tenants under the same MSP partner.

One-time onboarding fee: a one-time setup fee per tenant is payable before agent deployment. The fee comprises a flat charge (ZAR 10,000) covering provisioning + restore-drill validation, plus a per-Windows-endpoint pass-through (ZAR 310 per endpoint) for the Change Block Tracking driver licence required by the Pro tier's block-level Bare-Metal Recovery capability. Pass-through is charged at our cost without markup.

Commitment periods: month-to-month (M2M), 1-year, 2-year, or 3-year terms are available. Pricing is currently uniform across commitment lengths; longer commitments confer a price lock for the contract term. Selecting a commitment period is a separate decision from the minimum-endpoint commitment, which applies to all subscriptions regardless of term length.

Important: Kapsul8 EndpointBackup is currently supported only on Windows 10, Windows 11, Windows Server 2016, 2019, and 2022. macOS, Linux, and other operating systems are not eligible under the Endpoint Backup tiers.

3. Overage Policy

When a tenant reaches 80% of their storage allocation, we will send a notification to the MSP administrator. At 100%, backup operations continue but the MSP is billed for overage storage on top of the limit allowed on the specific tier.

South African customers: The overage rate is R1 per GB per month (ZAR). This rate applies to customers domiciled in or billing from South Africa.

International customers: Overage rates for customers outside of South Africa are specified in your signed subscription agreement. The Company will provide at least thirty (30) days' written notice before applying overage charges to international accounts.

Overage charges are calculated daily and billed at the end of each billing cycle. MSPs may increase their seat count or upgrade to a higher tier to increase their storage allocation.

4. Throttling Policy

To maintain service quality for all customers, the following rate limits apply:

  • API calls: 1,000 requests per minute per tenant
  • Backup frequency: maximum 4 snapshots per day per tenant (hourly available for Enterprise)
  • Restore operations: 10 concurrent restore jobs per tenant
  • Search queries: 100 queries per minute per tenant

If rate limits are consistently exceeded, we will contact the MSP to discuss usage patterns and potential plan adjustments. We will not suspend service without prior notice.

4A. Throughput & Restore Performance

Backup and restore throughput is provided on a best-effort basis. Transfer rates and completion times depend on your own network and internet bandwidth, endpoint and server performance, the volume and number of objects being protected or restored, and the availability of upstream services such as Microsoft 365. VaultFuzion does not guarantee any specific transfer rate, throughput, or backup/restore completion time, and does not publish a throughput service level.

Any published availability target (for example, 99.9% monthly availability) relates to the availability of the Platform and its control plane only — it is not a guarantee of backup or restore speed. Recovery Point Objectives (RPOs) and Recovery Time Objectives (RTOs) are targets, not guarantees, and are addressed in the Terms of Use and your signed subscription agreement.

5. Prohibited Usage Patterns

The following usage patterns are considered outside fair usage:

  • Using VaultFuzion as a primary data store rather than a backup destination
  • Automated high-frequency restore operations for non-recovery purposes
  • Storing non-Microsoft 365 data through API manipulation
  • Creating artificially inflated seat counts to obtain disproportionate storage
  • Repeatedly archiving and re-activating seats to avoid per-seat billing obligations

5.1 Archived Seat Policy

Archived seats (mailboxes where active backup protection is paused but historical data is retained) are billed at 50% of the active per-seat rate across all subscription tiers. Archived seats do not incur per-seat add-on charges. Billing is calculated using the peak seat count (active + archived) recorded during the billing period to prevent end-of-period adjustments.

Archived billing continues for the duration of the configured retention period or until all data for the archived seat is destroyed, whichever is later. Seats under active legal hold remain at the archived rate indefinitely until the hold is released and data is destroyed.

6. Enforcement

The Company reserves the right to contact customers who exceed fair usage thresholds. We will always provide at least 14 days' notice before applying any restrictions. Our goal is to work collaboratively with MSPs to find the right plan for their needs.

7. Reserved Rights

The Company reserves the right to change fair usage limits, storage allocations, overage rates, and throttling thresholds at any time with at least thirty (30) days' written notice to your registered billing contact. The default fair usage allocation is 50 GB per seat per month across all subscription tiers, unless a different allocation is explicitly specified in your signed subscription agreement or contract.

The Fair Usage Policy, including all storage limits, overage calculations, and enforcement procedures, may be modified, suspended, or replaced by us, in our sole discretion. Changes will be communicated via email and will take effect no earlier than thirty (30) days after notification. Continued use of the Platform after the effective date of any policy change constitutes acceptance of the revised policy. This policy is subject to the Terms of Use, which govern in the event of any conflict.
